Terms of Use

1. Acceptance of Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you ("Customer", "User", "you") and
Karelina Oksana ("Provider", "we", "our", "us") governing your access to and use of the SPOT.ON Visitor Intelligence platform and related services ("Service").
By accessing, installing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not use the Service.
2. Service Description
SPOT.ON is a Software-as-a-Service (SaaS) platform designed to analyze website visitor behavior and provide business intelligence.
Depending on the selected subscription plan, the Service may include:
- Website visitor analytics;
- Visitor segmentation;
- Anonymous visitor identification;
- Traffic source analysis;
- Geographic analytics;
- Page engagement tracking;
- Button click tracking;
- AI-generated behavioral reports;
- Telegram reporting;
- Automated workflow execution;
- Audience scoring;
- Visitor categorization;
- Historical analytics;
- Optional Meta audience synchronization;
- Future integrations with third-party services.
The Service may evolve over time and features may be added, modified or discontinued without prior notice.
3. Eligibility
You represent and warrant that:
- you are at least eighteen (18) years old;
- you have legal capacity to enter into this agreement;
- if using the Service on behalf of a company, you have authority to bind that organization.
4. Trial Version
The Provider may offer a free or limited trial version.
Trial versions may include restrictions regarding:
- available functionality;
- storage period;
- number of tracked events;
- integrations;
- AI processing;
- reporting.
The Provider may modify or discontinue the Trial Version at any time without liability.
No service level commitment applies to Trial accounts.
5. Subscription Plans
Certain features require a paid subscription.
Subscription plans, pricing and included functionality are published on the official website or communicated directly to Customers.
The Provider reserves the right to modify pricing for future billing periods.
6. Billing
Subscription fees are payable in advance.
Payments may be processed by third-party payment providers.
You authorize recurring billing where applicable.
Failure to pay subscription fees may result in suspension or termination of access.
7. Taxes
Unless explicitly stated otherwise, prices do not include applicable taxes, VAT, GST, sales taxes, withholding taxes or similar governmental charges.
Customers are responsible for all applicable taxes imposed by their jurisdiction.
8. Cancellation
Customers may cancel their subscription at any time.
Cancellation prevents future renewals but does not automatically generate refunds for the current billing period unless required by applicable law.
Access continues until the end of the paid subscription period.
9. Refund Policy
Except where required by mandatory consumer protection laws, subscription fees are non-refundable.
The Provider may voluntarily issue refunds at its sole discretion.
10. Customer Responsibilities
Customers are solely responsible for:
- lawful installation of tracking scripts;
- complying with all applicable privacy laws;
- obtaining required visitor consent where applicable;
- maintaining the security of their websites;
- protecting login credentials;
- ensuring that collected information is lawful.
The Customer remains solely responsible for determining whether use of the Service complies with applicable legislation.
11. Privacy and Data Protection
The Service processes data according to the Privacy Policy and Data Processing Agreement (DPA), which form integral parts of these Terms.
Where applicable:
- the Customer acts as Data Controller;
- the Provider acts as Data Processor.
Customers are responsible for implementing any legally required cookie consent mechanisms.
12. AI Features
The Service may generate reports using artificial intelligence.
AI-generated analyses are intended solely for informational purposes.
They should not be considered:
- legal advice;
- accounting advice;
- investment advice;
- advertising guarantees;
- professional consulting.
Business decisions remain solely the responsibility of the Customer.
13. Beta Features
Certain features may be identified as Beta.
Beta functionality:
- may contain errors;
- may be incomplete;
- may change without notice;
- may be discontinued.
Beta features are provided "as is."
14. Third-Party Services
The Service may rely on third-party providers.
The Provider is not responsible for outages, interruptions, API limitations or changes introduced by third-party services.
15. Intellectual Property
All intellectual property rights remain exclusively owned by the Provider.
This includes but is not limited to:
- software;
- source code;
- workflows;
- scoring systems;
- AI prompts;
- algorithms;
- reports;
- databases;
- documentation;
- branding;
- user interface;
- business methods.
Customers receive a limited, non-exclusive, non-transferable license to use the Service during an active subscription.
16. Acceptable Use
Customers shall not:
- violate applicable laws;
- interfere with Service security;
- reverse engineer the Service;
- copy proprietary algorithms;
- attempt unauthorized access;
- distribute malware;
- use the Service for fraud;
- transmit illegal content;
- violate intellectual property rights;
- misuse AI functionality.
17. Account Security
Customers are responsible for safeguarding access credentials.
The Provider is not liable for unauthorized access resulting from compromised credentials.
18. Availability
The Provider aims to maintain continuous availability but does not guarantee uninterrupted service.
Maintenance, updates, security incidents, infrastructure failures and force majeure events may temporarily interrupt the Service.
19. Service Level
Unless otherwise expressly agreed in writing, no minimum uptime guarantee applies.
20. Disclaimer
The Service is provided "AS IS" and "AS AVAILABLE."
To the maximum extent permitted by applicable law, the Provider disclaims all warranties, including implied warranties of:
- merchantability;
- fitness for a particular purpose;
- non-infringement;
- uninterrupted availability.
21. Limitation of Liability
To the maximum extent permitted by law, the Provider shall not be liable for:
- indirect damages;
- consequential damages;
- incidental damages;
- punitive damages;
- lost profits;
- lost revenue;
- lost business opportunities;
- advertising losses;
- data loss;
- business interruption.
The Provider's aggregate liability shall not exceed the subscription fees paid by the Customer during the three (3) months immediately preceding the event giving rise to the claim.
22. Force Majeure
The Provider shall not be liable for failure or delay resulting from events beyond reasonable control, including but not limited to:
- natural disasters;
- war;
- terrorism;
- cyberattacks;
- governmental actions;
- internet failures;
- power outages;
- cloud infrastructure failures.
23. Export Compliance
Customers represent that they are not prohibited from using the Service under applicable export control or sanctions laws.
24. Suspension and Termination
The Provider may suspend or terminate access if:
- these Terms are violated;
- payment is overdue;
- unlawful activity is detected;
- security risks arise.
Termination does not relieve Customers of outstanding payment obligations.
25. Changes
The Provider may modify these Terms from time to time.
Updated versions become effective upon publication.
Continued use of the Service constitutes acceptance of the updated Terms.
26. Severability
If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
27. Entire Agreement
These Terms, together with the Privacy Policy, Data Processing Agreement (DPA), Cookie Policy and other referenced policies constitute the entire agreement between the parties regarding the Service.
28. Governing Law
These Terms shall be governed by the applicable laws determined by the Provider's legal establishment, without prejudice to mandatory consumer protection laws that may apply in the Customer's jurisdiction.
