Welcome to Karelina Digital Agency. These Terms of Use ("Terms") govern your access to and use of our website, software-as-a-service (SaaS) platform, IT consulting, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.
1.Eligibilityu must be at least 18 years old and have the legal capacity to enter into a binding agreement. By using our Services, you represent and warrant that you meet these requirements.
2.Services we provide consulting, IT development, and SaaS solutions to clients worldwide. Specific terms and deliverables may be further defined in a separate agreement or service contract.
3. Payments All fees for our Services are provided in advance through invoices or subscription plans. Unless otherwise stated in a separate contract, Services are delivered only after payment has been received.
  • Prepayment is required for consulting and IT development projects.
  • Subscription fees for SaaS products are billed on a recurring basis unless cancelled.
  • Payments are non-refundable unless otherwise required by applicable law.
4. User Responsibilities You agree not to use our Services for:
  • unlawful activities or violation of applicable laws;
  • infringement of intellectual property rights;
  • transmission of malicious software, spam, or harmful content;
  • unauthorized access to systems or data.
5. Intellectual Property All content, software, designs, and materials provided by us remain the intellectual property of the Company. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your internal business purposes.
6. Data Protection and PrivacyWe process personal data in compliance with:
  • The Law of Ukraine “On Personal Data Protection”;
  • General Data Protection Regulation (GDPR) for users located in the European Union;
  • other applicable data protection laws.
By using our Services, you consent to the collection, use, and processing of your personal data as outlined in our Privacy Policy. You have the right to access, correct, or delete your personal information and to withdraw consent where applicable.
7. Limitation of Liability To the maximum extent permitted by law:
  • We are not liable for any indirect, incidental, or consequential damages arising from the use of our Services.
  • Our total liability for any claim shall not exceed the amount you paid us for the Services in the twelve (12) months preceding the claim.
8. TerminationWe reserve the right to suspend or terminate your access to the Services at our discretion, without notice, if you violate these Terms.
9. Governing Law and Dispute Resolution These Terms are governed by the laws of Ukraine, without regard to conflict of laws principles. Any disputes shall be resolved amicably; if not possible, they shall be submitted to the competent courts of Ukraine, unless otherwise agreed in writing.
10. Changes to TermsWe may update these Terms from time to time. Continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
